Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Wu Wei Digital website located at wuwei.digital ("Site") and any services provided by Wu Wei Digital ("Services").

By accessing our Site or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Site or use our Services.

Description of Services

Wu Wei Digital provides AI automation consulting and implementation services, including but not limited to:

  • AI workflow automation design and implementation
  • Private AI model integration and deployment
  • AI discovery sprints and consulting
  • Custom digital assistant development
  • Business process optimisation using AI technologies

Client Responsibilities

When engaging our Services, you agree to:

  • Provide accurate and complete information as required for service delivery
  • Respond to requests for information or feedback in a timely manner
  • Ensure you have the necessary rights and permissions for any data or systems we work with
  • Comply with all applicable laws and regulations
  • Not use our Services for any unlawful or prohibited purpose

Project Engagements

Proposals and Agreements

All project work will be governed by a separate Statement of Work (SOW) or Service Agreement that outlines the specific scope, deliverables, timeline, and fees. These Terms apply in addition to any project-specific agreements.

Discovery Calls

Initial discovery calls are provided at no charge and are intended to understand your needs and determine if our services are a good fit. Discovery calls do not constitute a commitment to provide services.

Payment Terms

Payment terms will be specified in your project agreement. Unless otherwise stated:

  • Invoices are due within 14 days of issue
  • All fees are quoted in Australian Dollars (AUD) unless otherwise specified
  • Late payments may incur interest at the rate of 2% per month

Intellectual Property

Our Intellectual Property

The Site and its original content, features, and functionality are owned by Wu Wei Digital and are protected by international copyright, trademark, and other intellectual property laws. Our methodologies, frameworks, and pre-existing tools remain our property.

Client Deliverables

Upon full payment, you will own the custom deliverables created specifically for your project, as outlined in your project agreement. This excludes any pre-existing intellectual property, third-party components, or generally applicable tools and templates.

Client Materials

You retain ownership of all materials, data, and intellectual property you provide to us. You grant us a limited licence to use such materials solely for the purpose of delivering the Services.

Confidentiality

We treat all client information as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to deliver the Services (such as engaging subcontractors under appropriate confidentiality obligations).

Confidentiality obligations survive the termination of any engagement.

Limitation of Liability

To the maximum extent permitted by Australian law:

  • Our liability for any claim arising from the Services is limited to the fees paid for those specific Services
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss of profits, data, business opportunities, or goodwill
  • We are not liable for delays or failures caused by circumstances beyond our reasonable control

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

Warranties and Disclaimers

We will perform our Services with reasonable care and skill. However:

  • We do not guarantee specific results or outcomes from our Services
  • AI technologies are rapidly evolving, and we cannot guarantee that solutions will remain optimal as technology changes
  • The Site is provided "as is" without warranties of any kind, express or implied
  • We do not warrant that the Site will be uninterrupted, secure, or error-free

Third-Party Services and AI Tools

Our Services may involve the use of third-party platforms, APIs, and AI tools. You acknowledge that:

  • These third-party services have their own terms and conditions
  • We are not responsible for the availability, accuracy, or reliability of third-party services
  • You are responsible for any fees charged by third-party services
  • Changes to third-party services may affect the solutions we implement

Termination

Either party may terminate a project engagement as specified in the applicable project agreement. We reserve the right to terminate or suspend access to our Site and Services immediately, without prior notice, for conduct that we believe:

  • Violates these Terms
  • Is harmful to other users, us, or third parties
  • Is fraudulent or illegal

Indemnification

You agree to indemnify and hold harmless Wu Wei Digital and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Site or Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content or data you provide to us

Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Australia.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site and Services after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
